1. Introduction
Welcome to Indicium, operated by Copper Business Trading International – FZCO (“Indicium,” “we,” “us,” or “our”). These Terms & Conditions (“T&C”) govern your use of our website www.indicium-rwa.com and mobile application (collectively, the “Platform”).

By accessing or using our Platform, you agree to comply with and be bound by these T&C. If you do not agree with any part of these T&C, please refrain from using our services.

2. Definitions
“User” refers to any individual or entity accessing the Platform.
“Investor” refers to a user who purchases IDC tokens or invests in tokenized assets via the Platform.
“Project” refers to a real-world asset or business listed for investment.
“NFT Shares” refer to blockchain-based fractional ownership certificates of a Project.
“IDC Token” refers to the utility token used within the Indicium ecosystem.

3. User Eligibility
To use the Platform, you must:

Be at least 18 years old or the legal age of majority in your jurisdiction.
Successfully complete Know Your Customer (KYC) verification as required by law.
Not be a resident of a jurisdiction where investing in tokenized assets is restricted or illegal.
We reserve the right to reject or terminate any user account that does not comply with these eligibility criteria.

4. Account Registration & Security
Users must create an account and complete the KYC verification process before participating in investments.
Users are responsible for maintaining the confidentiality of their login credentials.
Any unauthorized access to your account must be reported to contact@indicium-rwa.com immediately.

5. Investment & Use of IDC Tokens
IDC tokens are required to invest in tokenized assets listed on the Platform.
Each investment is represented by an NFT Share that certifies fractional ownership of a Project.
IDC tokens used for investments are locked for one (1) year and cannot be withdrawn until the vesting period ends.
After one year, investors may burn their NFT Shares to reclaim their initial IDC tokens, subject to a 10% collateral fee retained by Indicium.
Indicium does not guarantee the profitability or appreciation of investments.

6. Fees & Costs
Indicium may charge fees related to:

Transaction processing (blockchain gas fees, withdrawal fees, or conversion fees).
Investment withdrawals (subject to a collateral retention fee).
Trading on the secondary market (when launched).
Details of all applicable fees are available on the Fees & Charges page of the Platform.

7. Risk Acknowledgment
By using Indicium, you acknowledge and agree that:
Investing in tokenized assets carries financial risks, including total loss of capital.
IDC tokens and NFT Shares do not constitute securities or equity ownership in a company.
The secondary market for NFT Shares may not be available at all times, affecting liquidity.
Regulatory frameworks for tokenized assets vary by jurisdiction and may impact your investment.
Indicium strongly advises users to conduct independent research before investing.

8. Prohibited Activities
Users agree NOT to:
Engage in fraudulent activities, money laundering, or any illegal conduct.
Attempt to bypass KYC/AML (Anti-Money Laundering) regulations.
Exploit the platform for unauthorized financial gain, including market manipulation.
Use automated tools (bots) to interfere with the normal functioning of the Platform.
Indicium reserves the right to suspend or terminate accounts engaging in prohibited activities.

9. Intellectual Property
All content on the Platform, including branding, technology, and investment mechanisms, is protected by copyright and trademark laws.
Users may not copy, distribute, or modify Indicium’s intellectual property without prior written consent.

10. Liability & Disclaimers
Indicium provides the Platform “as is” without warranties of any kind.
We are not responsible for losses due to market volatility, security breaches, or smart contract failures.
Indicium is not liable for investment decisions made by users.

11. Governing Law & Dispute Resolution
These T&C are governed by the laws of the United Arab Emirates (UAE).

Any disputes shall be settled through arbitration under UAE law before being escalated to the courts of Dubai, UAE.

12. Amendments to These Terms
Indicium may update these T&C periodically. Users will be notified of major changes via email or Platform announcements. Continued use of the Platform constitutes acceptance of any revised terms.
